Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“Merchant”, “you”) and StoreNest (“StoreNest”, “we”, “us”) for your use of the StoreNest platform, websites and related services (the “Service”). By creating an account, subscribing, or using the Service, you agree to these Terms, our Privacy Policy and our Refund Policy.

1. The Service

StoreNest is software that lets merchants create and run their own online stores, manage products, inventory, orders, customers and payments, and publish a storefront on a StoreNest address or a connected domain. Features, limits (such as the number of products or staff accounts) and add-ons depend on your subscription plan and are enforced by the platform.

2. Eligibility and your account

• You must be at least 18 and able to enter a binding contract, and, if registering for a business, authorised to bind that business.
• You must give accurate, current information (including business and GST details) and keep it up to date.
• You are responsible for all activity under your account and for keeping your credentials secure. Tell us promptly at support@storenest.in if you suspect unauthorised access.
• You are responsible for the actions of staff you invite and for the permissions you grant them.

3. Subscription, fees and taxes

• Plans are billed monthly in advance. Prices are shown exclusive of GST, which is added at the applicable rate and shown on your invoice.
• You authorise us to charge the fees for your selected plan. If payment fails, we may retry, restrict features, or suspend your store after any grace period we notify to you.
• Fees are non-refundable except as set out in the Refund Policy.
• We may change prices or plan features with prior notice; changes apply from your next billing period.

4. Your store, your responsibility

You are the seller of record for everything you offer. You alone are responsible for your products and services, descriptions, pricing, taxes, licences, shipping and delivery, customer service, returns and refunds, and for complying with all applicable laws, including consumer protection, e-commerce, legal metrology, GST, and data protection rules. You must display the information the law requires on your store, such as your legal name, address and contact details, and your own return and refund policy.

5. Payments

Shoppers pay you directly through the payment gateway accounts you connect, under that gateway's own terms. StoreNest does not hold, collect or settle shopper funds and is not a party to any transaction between you and your customers. You are responsible for chargebacks, refunds and disputes arising from your sales.

6. Acceptable use

You must not use the Service to:

• sell illegal, counterfeit, stolen, hazardous or prohibited goods or services, or anything that infringes another person's rights;
• deceive customers, run fraudulent stores, or misuse personal data;
• upload malware, probe or attack the platform, bypass plan limits or security controls, or access another merchant's data;
• send unsolicited bulk messages or otherwise breach anti-spam law;
• resell or white-label the Service without our written permission.

7. Your content and our rights

You keep ownership of the content you upload (product data, images, text, logos). You grant us a limited licence to host, display, copy and process that content solely to run and improve the Service for you. You confirm you have the rights to use it. StoreNest and its licensors own the platform, software, design and trademarks; these Terms give you only a limited, non-exclusive, non-transferable right to use the Service while your subscription is active.

8. Data protection

For shopper data you collect, you decide how it is used and we process it on your behalf as described in our Privacy Policy. You are responsible for having a lawful basis and any notices or consents the law requires, and for responding to your customers' data requests.

9. Availability and changes

We work to keep the Service available and secure, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and may add, change or retire features. We will try to give reasonable notice of material changes that adversely affect you.

10. Suspension and termination

You may cancel at any time from your admin account. We may suspend or terminate your account or store, with notice where practicable, if you breach these Terms or the law, fail to pay fees, create risk or legal exposure for us or others, or if required by a court or authority. On termination your right to use the Service ends; you should export the data you need beforehand. We may delete your data after the retention period described in the Privacy Policy.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any level of sales or revenue.

12. Limitation of liability

To the fullest extent permitted by law, StoreNest will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data. Our total liability for any claim arising out of the Service is limited to the fees you paid to us in the three (3) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

13. Indemnity

You will indemnify and hold harmless StoreNest, its directors, employees and affiliates from claims, losses and expenses (including reasonable legal fees) arising from your store, your products or services, your content, your breach of these Terms or the law, or your dealings with your customers.

14. Governing law and disputes

These Terms are governed by the laws of India. We encourage you to contact us first to resolve any dispute informally. Subject to that, the courts at the location of StoreNest's registered office have exclusive jurisdiction, unless applicable law requires otherwise.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, notify you by email or in the admin. Continued use of the Service after the effective date means you accept the updated Terms.

16. General

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between us on this subject. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
